Terms of Service

Last updated: 2026-10-15

These terms govern your use of the services provided by Xingwang VPS LLC (“we”, “us”; the “Service”). By registering or using the Service you accept these terms, our Acceptable Use Policy and our Privacy Policy.

1. The Service

We provide VPS / cloud server instances with a dedicated IP (infrastructure as a service). Specs, bandwidth, rate limits and connections depend on your chosen plan.

Please understand these service characteristics before ordering:

2. Eligibility & accounts

3. Acceptable use

Your use must comply with the Acceptable Use Policy. Violating the AUP violates these terms and may lead to suspension or termination.

4. Sanctions & export controls

You may not use the Service if you are located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive US sanctions (for example Cuba, Iran, North Korea, and the Crimea, Donetsk and Luhansk regions of Ukraine), if you appear on a US government restricted-party list (such as the OFAC Specially Designated Nationals list), or if you act on behalf of any such person. You may not use the Service in violation of US export control or sanctions laws. We may suspend or terminate the Service immediately if we reasonably believe this section applies.

5. Billing, taxes & refunds

Billing & renewal

Refunds (see also our Refund Policy)

6. Cancellation, suspension & termination

7. Your data & backups

You own and are responsible for the data and content on your instance. Unless we agree otherwise in writing, we do not back up the data inside your instance; reinstalling, termination or a hardware failure can permanently lose data, so keep your own regular backups. We do not access the data inside your instance unless you ask us for help or the law requires it.

8. Availability & disclaimer

The Service is provided “as is”. We strive for high availability (out-of-band management + power-loss auto-restart, and we re-provision or migrate you on hardware/line failure), but we do not currently offer a formal uptime SLA with service credits — the underlying network includes ISP broadband lines, which can have occasional outages. We do not warrant uninterrupted, error-free operation or fitness for your particular purpose. Third-party network/platform policy changes are outside our control. IP reputation changes with use; we work to keep IPs clean and will replace yours when needed, but do not guarantee the ongoing reputation of any specific IP.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages (including lost profits, data or business); our total liability is limited to the fees you actually paid for the relevant service in the 3 months before the claim.

10. Indemnification

You will defend, indemnify and hold harmless Xingwang VPS LLC from third-party claims, losses and costs (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your breach of these terms or the AUP.

11. Changes & governing law

We may update these terms and post them here; for material changes we will notify you by email or in the dashboard at least 14 days before they take effect, and continued use after that means you accept them. These terms are governed by the laws of the State of Wyoming, USA; disputes arising from these terms or the Service are subject to the courts of competent jurisdiction in Wyoming.
